ACVPULSE — PSR Brands, Inc.

These Terms of Use ("Terms") govern your use of the ACVPULSE platform at acvpulse.com and related services (the "Service") provided by PSR Brands, Inc. ("PSR Brands," "we," "us," or "our"), 510 Bering Dr, Suite 330, Houston, TX 77057. By using the Service you agree to these Terms.

1. The Service

ACVPULSE is a business platform through which retail customers of PSR Brands place and manage orders, receive deliveries, view invoices and balances, make payments, and communicate with PSR Brands sales representatives. The Service is intended for business use by authorized representatives of customer businesses.

2. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate business and contact information and keep it current. Notify us immediately of any unauthorized use.

3. Orders, pricing, and payment

Orders placed through the Service are subject to acceptance by PSR Brands and to product availability. Prices, terms, and credit limits are as stated on your account or order confirmation. Invoices are due according to the payment terms on the invoice. Payments may be made by the methods offered in the Service, including card payments processed by our payment processor. Returns and credits are handled according to PSR Brands' return policy and are reflected as credit memos on your account.

4. SMS terms

Program. PSR Brands offers transactional SMS notifications for your business account: order confirmations, delivery notifications, payment receipts, balance and due-date reminders, and two-way customer-care messages from your assigned sales representative. We do not send marketing or promotional SMS.

Consent. You enroll by checking the SMS consent box on the customer account or order form, in the ACVPULSE application or with a PSR Brands sales representative. Consent to receive SMS is not a condition of purchasing any goods or services.

Message frequency. Message frequency varies based on your account activity.

Costs. Message and data rates may apply according to your mobile carrier's plan.

Opting out. Reply STOP to any message to cancel. You will receive a single confirmation message and no further SMS will be sent. Reply START to re-enroll.

Help. Reply HELP to any message, email orders@acvpulse.com, or call (832) 981-6610.

Supported carriers. Major U.S. carriers are supported. Carriers are not liable for delayed or undelivered messages.

Privacy. Mobile information collected for the SMS program is handled as described in our Privacy Policy at acvpulse.com/privacy. We do not share your mobile number or opt-in consent with third parties for their marketing purposes.

Changes. You must notify us if you change or discontinue the mobile number enrolled, as you are responsible for messages sent to that number.

5. Acceptable use

You agree not to misuse the Service, including by attempting unauthorized access, interfering with its operation, submitting false information, or using it for any unlawful purpose.

6. Intellectual property

The Service, including its software, design, and content, is owned by PSR Brands or its licensors and is protected by applicable law. You receive a limited, non-exclusive, non-transferable right to use the Service for its intended business purpose.

7. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, PSR Brands disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

8. Limitation of liability

To the fullest extent permitted by law, PSR Brands will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid to PSR Brands in the twelve months before the claim.

9. Termination

We may suspend or terminate your access to the Service for violation of these Terms or as needed to protect the Service or other users. Obligations under outstanding invoices survive termination.

10. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute will be brought in the state or federal courts located in Harris County, Texas.

11. Changes to these Terms

We may update these Terms. The effective date above will change, and continued use of the Service after changes take effect constitutes acceptance.
